EGT Networks is a software provider. We are not a licensed real estate broker, real estate agent, property manager, tenant placement service or legal advisor, and we do not act as an intermediary between landlords and tenants. We do not hold, escrow or transmit rent, security deposits or other third-party funds.
1. Acceptance of These Terms
These Terms of Service ("Terms") are a legally binding agreement between you ("you", "Landlord", "Property Manager" or "Tenant") and EGT Networks, Inc. ("EGT", "we", "us"). By creating an account, subscribing, or using the EGT property management platform (the "Software"), you agree to these Terms. If you do not agree, do not use the Software.
2. EGT Is a Software Provider Only
EGT provides cloud software that landlords, property managers and their tenants use to organize their own rental operations. EGT is not a party to any lease, management agreement or other contract between a landlord and a tenant, and EGT does not act on behalf of either party.
EGT does not provide real estate brokerage, property management, tenant placement, legal, tax, accounting, appraisal or investment advice. Any templates, checklists, generated documents or AI responses in the Software are general information tools, not legal advice, and must be reviewed by your own qualified professional before use.
3. No Agency, Matching or Negotiation Role
EGT does not act as an agent, broker, finder, matchmaker or intermediary of any kind. Specifically, EGT does not:
- Market, list or advertise properties on a landlord’s behalf, or solicit tenants for a landlord;
- Introduce, match, screen or recommend tenants to a landlord, or landlords to a tenant;
- Negotiate, draft, execute or enforce lease terms, rent amounts, renewals, notices or evictions;
- Collect, hold, disburse or account for security deposits, rent, fees or any other funds belonging to a landlord or tenant;
- Make decisions about who is approved, denied, ranked or prioritized for a rental unit.
Every listing, application, screening decision, lease, notice, payment and communication in the Software is created, reviewed and decided by the landlord or property manager using the Software as a tool. EGT staff do not select tenants, set rents, or direct the outcome of any tenancy.
4. No Handling of Funds
EGT never holds, escrows, transmits or takes custody of rent, security deposits or any other third-party real estate funds. EGT does not operate a money transmission business, escrow account, trust account or landlord bank account.
Subscription fees are billed to you by EGT through a PCI-DSS compliant third-party payment processor. Where the Software offers any online payment capability, payment is processed directly by a licensed third-party payment processor (currently Stripe) between the parties to the transaction; EGT does not receive, control or disburse those funds.
Rent payments and other tenant payments recorded in the Software are bookkeeping entries describing a payment the tenant reports or the landlord confirms. A recorded entry is not proof that funds moved, and EGT is not responsible for verifying, reconciling or guaranteeing any payment between a landlord and a tenant.
5. Your Responsibilities as a Landlord or Property Manager
You are solely responsible for your rental operations and for ensuring that your use of the Software complies with all applicable laws and regulations, including without limitation:
- New York State and New York City housing laws, including rent stabilization and rent control rules, registration and rent-increase requirements, and the Housing Stability and Tenant Protection Act;
- Fair housing laws, including federal, state and local prohibitions on discrimination in advertising, screening, tenant selection and lease terms;
- Security deposit limits and handling rules, notice requirements, habitability, lead paint and required disclosures;
- Consumer reporting and background/credit screening rules (including the FCRA), and obtaining any required tenant consent;
- Data protection and privacy laws that apply to the personal information you enter into the Software.
You must have all rights and consents necessary to upload tenant information, leases and documents. You may not use the Software to discriminate, to retaliate, or to perform any act that would require a real estate license in New York State if performed for another person.
6. Accounts, Access and Security
You must provide accurate account information, keep your credentials confidential, and are responsible for activity under your account and for the access levels you grant to staff, landlords and tenants. Notify us immediately if you believe your account has been compromised.
7. Subscriptions, Fees and Billing
Paid plans, add-ons and per-unit fees are described at checkout and are billed in advance through our third-party payment processor. Unless stated otherwise, subscriptions renew automatically until cancelled. You may cancel at any time from your account or by contacting us; cancellation stops future renewals and does not refund amounts already billed, except where required by law. Fees are exclusive of taxes, which you are responsible for.
8. Acceptable Use
You agree not to:
- Use the Software to break any law, infringe any right, or harass or defraud any person;
- Upload malicious code, attempt to gain unauthorized access, scrape, reverse engineer or resell the Software;
- Enter another person’s sensitive information without lawful authority;
- Misrepresent EGT as your broker, agent, property manager or legal representative.
9. Data and Privacy
Our handling of personal information, including tenant screening data and payment details, is described in our Privacy Policy, which forms part of these Terms.
10. Third-Party Services
The Software integrates third-party services such as payment processing, email delivery, mapping, e-signature and AI providers. Those services are governed by their own terms and privacy policies, and EGT is not responsible for their acts or omissions.
11. Disclaimers
The Software is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. EGT does not warrant that the Software is error-free, uninterrupted, or that any document, calculation, generated notice or AI output is accurate, complete or compliant with the law in your jurisdiction.
12. Limitation of Liability
To the maximum extent permitted by law, EGT is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost rent, lost data, eviction outcomes, tenant disputes or regulatory penalties. EGT’s total aggregate liability arising out of or relating to the Software will not exceed the amounts you paid to EGT for the Software in the twelve months preceding the claim.
13. Indemnification
You agree to indemnify and hold EGT harmless from any claim, loss, liability or expense (including reasonable attorneys’ fees) arising from your rental operations, your content, your tenant screening or selection decisions, your handling of tenant funds, or your breach of these Terms or of applicable law.
14. Suspension and Termination
We may suspend or terminate access if you violate these Terms, fail to pay, or use the Software in a way that creates legal or security risk. You may stop using the Software at any time. On termination you may export your data within the period described in the Privacy Policy.
15. Changes and Governing Law
We may update these Terms and will post the revised version with a new effective date. Continued use after a change means you accept the updated Terms. These Terms are governed by the laws of the State of New York, without regard to conflict of law rules, and any dispute will be brought in the state or federal courts located in New York.
